The Receiving Party agrees that all information shared by Levine Capital Management, LLC and Loan Aggregator, LLC ("Disclosing Party"), including but not limited to borrower details, loan terms, capital provider relationships, proprietary processes, pricing structures, and business strategies, shall be treated as strictly confidential. The Receiving Party shall not disclose, reproduce, or distribute any such information to any third party without the prior written consent of the Disclosing Party. This obligation of confidentiality shall survive the termination of any business relationship between the parties.

The Receiving Party agrees not to directly or indirectly contact, deal with, or otherwise become involved with any borrowers, capital providers, investors, lenders, brokers, or other parties introduced by or through Levine Capital Management, LLC and Loan Aggregator, LLC, for the purpose of circumventing the Disclosing Party in any transaction. This includes but is not limited to attempting to obtain financing, investment, or any business advantage through contacts or relationships facilitated by the Disclosing Party, without the Disclosing Party's express written consent and participation.

The Receiving Party agrees not to solicit, recruit, or attempt to hire any employees, contractors, agents, or affiliates of Levine Capital Management, LLC and Loan Aggregator, LLC. Furthermore, the Receiving Party shall not solicit or attempt to divert any borrowers, capital providers, or business relationships away from the Disclosing Party for a period of two (2) years following the last transaction or business interaction between the parties.

This Agreement applies to all counterparties introduced by or conducting business with Levine Capital Management, LLC and Loan Aggregator, LLC, including but not limited to: Wholesalers, Real Estate Investors, Gator Lenders, Transaction Coordinators, Attorneys, Morby Method practitioners, Title Companies, Appraisers, Brokers, and any other party involved in business-purpose real estate transactions facilitated by the Disclosing Party.

The Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm to Levine Capital Management, LLC and Loan Aggregator, LLC, for which monetary damages alone would be insufficient. In the event of a breach or threatened breach, the Disclosing Party shall be entitled to seek injunctive relief, specific performance, and any other equitable remedies available under law, in addition to all other remedies available at law or in equity, including the recovery of actual damages and reasonable attorney's fees.

By checking this box and submitting this form, I (individually and on behalf of my employer, collectively "We") acknowledge that this digital acceptance constitutes a legally binding agreement equivalent to a physical signature. I confirm that I have read, understood, and agree to all terms of this Confidentiality & Non-Circumvention Agreement.
